Zyptyk Terms and Conditions

The following are the Terms and Conditions (the "Agreement") which govern your access and use of our online platform through which therapy and mental health services may be provided (collectively the "Platform"). This Platform is owned and operated by Zomujo LLC, a company based in Korle-Bu, Accra, Ghana (admin@zomujo.com, +233(0)201462313). The Platform may be provided or be accessible via multiple websites or applications, including but not limited to the Zyptyk app.

By accessing or using the Platform, you are entering into this Agreement. You should read this Agreement carefully before starting to use the Platform. If you do not agree to be bound by any term of this Agreement, you must not access the Platform.

When the terms "we", "us", "our", or similar are used in this Agreement, they refer to Zomujo LLC (the "Company").

1. The Therapists and Therapist Services

The Platform may be used to connect you with a therapist who will provide services to you through the Platform ("Therapist Services").

For Ghana-Based Therapists

We require every therapist providing Therapist Services on the Platform to be a registered, trained, and experienced counselor, psychologist, social worker, or therapist. Therapists must have a relevant academic degree in their field, at least 3 years of experience, and must be qualified and credentialed by their respective professional organization after successfully completing the necessary education, exams, training, and practice requirements as applicable.

For Non-Ghana-Based Therapists

We require every therapist providing Therapist Services on the Platform to be a registered, trained, and experienced counselor, psychologist, social worker, or therapist. Therapists must have a relevant academic degree in their field, at least 3 years of experience, and must be qualified and credentialed by their respective professional organization after successfully completing the necessary education, exams, training, and practice requirements as applicable.

For All Therapists

The therapists are independent providers who are neither our employees nor agents nor representatives. The Platform's role is limited to enabling the Therapist Services. The therapists themselves are responsible for the performance of the Therapist Services. If you feel the Therapist Services provided by the therapist do not fit your needs or expectations, you may change to a different therapist who provides services through the Platform. However, please note that due to varying licensure requirements, not all therapists may be available to you at any particular time.

While we hope the Therapist Services are beneficial to you, you understand, agree, and acknowledge that they may not be the appropriate solution for everyone's needs and may not be a substitute for certain mental health needs that might require in-person therapy services, such as active withdrawal from certain substances or severe mental health conditions.

IMPORTANT: IF YOU ARE THINKING ABOUT SUICIDE OR HARMING YOURSELF OR OTHERS, OR IF YOU FEEL THAT ANY OTHER PERSON MAY BE IN DANGER, YOU MUST IMMEDIATELY CALL YOUR LOCAL EMERGENCY SERVICES NUMBER AND NOTIFY THE RELEVANT AUTHORITIES. THE PLATFORM IS NOT DESIGNED FOR USE IN ANY OF THE AFOREMENTIONED CASES, AND THE THERAPISTS CANNOT PROVIDE THE ASSISTANCE REQUIRED IN THESE SITUATIONS.

2. Privacy and Security

Protecting and safeguarding any information you provide through the Platform is extremely important to us. Information about our security and privacy practices can be found in our Privacy Policy available within the Zyptyk app.

BY AGREEING TO THIS AGREEMENT AND/OR BY USING THE PLATFORM, YOU ARE ALSO AGREEING TO THE TERMS OF THE PRIVACY POLICY. THE PRIVACY POLICY IS INCORPORATED INTO AND DEEMED A PART OF THIS AGREEMENT.

3. Intellectual Property

The Platform, including the Zyptyk app and its related content ("Zyptyk Intellectual Property"), and all rights, title, and interest, including all related intellectual property rights therein, are owned by Zomujo LLC, its licensors, or other providers of such material. This Agreement is not a sale and does not convey or grant you any rights in or related to the Platform or any intellectual property rights owned by Zomujo LLC.

"Zyptyk," "Zomujo," and all related names, logos, product and service names, designs, and slogans ("Zyptyk Marks") are trademarks of Zomujo LLC or its affiliates or licensors. You must not use Zyptyk Marks without the prior written permission of Zomujo LLC. All other names, logos, product and service names, designs, and slogans on the Platform are the trademarks of their respective owners.

Subject to your compliance with these Terms, Zomujo LLC grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to: (i) access and use the Platform solely in connection with your use of the Services on your personal device; and (ii) access and use any content, information, and related materials that may be made available through the Services, in each case solely for your personal, non-commercial use. Any rights not expressly granted herein are reserved by Zomujo LLC and its licensors.

4. Third-Party Content

The Platform may contain content, products, or services offered or provided by third parties ("Third-Party Content"), links to Third-Party Content, or advertisements related to Third-Party Content. We have no responsibility for the creation of any such Third-Party Content and will not be liable for any damage or loss caused by any Third-Party Content.

5. Disclaimer of Warranty and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE ZOMUJO LLC AND AGREE TO HOLD US HARMLESS FROM ANY AND ALL CAUSES OF ACTION AND CLAIMS OF ANY NATURE RESULTING FROM THE THERAPIST SERVICES OR THE PLATFORM.

YOU UNDERSTAND, AGREE, AND ACKNOWLEDGE THAT THE PLATFORM IS PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES OF ANY KIND. THE USE OF THE PLATFORM IS AT YOUR OWN RISK.

6. Arbitration

THIS SECTION 6 OF THIS AGREEMENT SHALL BE REFERRED TO AS THE "ARBITRATION AGREEMENT."

By accepting the terms of this Arbitration Agreement, you and Zomujo LLC agree that any dispute, claim, or controversy arising out of or relating to this Agreement, the use of the Platform, or Therapist Services will be resolved on an individual basis by final and binding arbitration in Ghana.

If the parties cannot otherwise agree on a location for the arbitration, the arbitration shall take place in Accra, Ghana.

7. Subscription and Billing

We offer different subscription options that can be selected within the Zyptyk app. These options are subject to change, and details will be made available in the app.

8. Your Account, Representations, and Conduct

You confirm that you are legally able to consent to receive Therapist Services and are legally able to enter into a contract. You agree to provide accurate and current information and maintain the confidentiality of your account.

9. Modifications and Termination

We may modify, suspend, or discontinue the Platform, any part of the Platform, or the use of the Platform at any time with or without notice to you.

11. Governing Law

This Agreement and our relationship with you shall be interpreted solely in accordance with the laws of Ghana.

12. Entire Agreement

This Agreement constitutes the entire agreement between you and Zomujo LLC. You agree to be bound by the terms of this Agreement as they may be updated from time to time.
