1. Agreement to Terms
By downloading, installing, or using the FlightXplorer application or web platform (collectively, the "Service"), these terms will automatically apply to you. Please read them carefully before using the Service. FlightXplorer is owned and operated by FlightXplorer LLC ("we," "us," or "our").
FlightXplorer LLC is committed to ensuring that the Service is as useful and efficient as possible. For that reason, we reserve the right to make changes to the Service or to charge for its services, at any time and for any reason. We will never charge you for the Service or its services without making it very clear to you exactly what you're paying for.
2. User Types and Access
FlightXplorer serves three distinct user types, each with different rights and responsibilities:
2.1 Business Users (Flight Schools/FBOs)
- Full administrative access to their organization's data
- Responsibility for managing staff and student users
- Authority to validate and review student training records
- Obligation to comply with applicable aviation regulations and privacy laws
- Full scheduling authority: Create, modify, approve, dispatch, complete, and cancel all scheduled events
- Override capabilities: Authorize flights and dispatch aircraft regardless of system warnings or restrictions
- Billing authority: Review and finalize billing for completed flights and training sessions
- Policy management: Configure school-wide dispatch policies, weather minimums, and operational hours
2.2 Staff Users
- Access limited to students assigned to them by Business Users
- Authority to collect and validate student training data with proper consent
- Responsibility to handle student information in accordance with privacy policies and educational standards
- Scheduling permissions: Create, modify, and manage events for assigned resources (students, aircraft, classrooms)
- Approval authority: Approve or deny student booking requests for assigned students
- Dispatch authorization: Authorize pre-flight dispatch for flights involving assigned students and approved aircraft
- Completion authority: Complete flights and training sessions, recording post-flight data and billing information
- Review responsibilities: Review and approve student-submitted post-flight data for solo flights and aircraft rentals
2.3 Student Users
- Control over their personal data through granular consent mechanisms
- Right to access, modify, export, and delete their information
- Responsibility to provide accurate information for safety and training purposes
- Self-booking capabilities: Request flight training, ground school, simulator, and other training events
- Self-dispatch eligibility: Qualified renters (Private Pilot certificate or higher) may self-dispatch aircraft rentals subject to validation of:
- Current medical certificate and flight review
- Valid aircraft checkout and endorsements
- Valid renter's insurance (if required by school policy)
- Weather conditions meeting applicable minimums
- No open aircraft squawks (if required by school policy)
- Compliance with business operational hours
- Post-flight responsibilities: Submit accurate post-flight data for solo flights and aircraft rentals, including hobbs/tach readings, landings, and squawk reports
- Cancellation obligations: Cancel scheduled events in a timely manner per school policies
3. Educational Data and Privacy Consent
3.1 Student Data Collection
Students maintain granular control over their data sharing through category-specific consent for:
- Personal information (date of birth, phone number, certificates)
- Medical information (medical certificates, restrictions, flight reviews)
- Emergency contact information
- Flight experience records
- Training goals and objectives
- Current training stage information
- Insurance information (renter's insurance for aircraft rental eligibility)
3.2 Staff Validation Rights
By using the Service as a student, you acknowledge and consent that:
- Authorized flight school staff may review and validate your submitted information
- This validation is necessary for training progression and safety compliance
- All staff access is logged and auditable
- You may revoke consent at any time through your privacy dashboard
3.3 Data Accuracy Responsibility
Students are responsible for providing accurate information, particularly for safety-critical data such as medical certificates, emergency contacts, flight experience records, aircraft checkout status, endorsement expirations, insurance policy information, and post-flight aircraft meter readings (hobbs/tach).
4. Scheduling and Booking System
4.1 General Scheduling Terms
FlightXplorer provides an integrated scheduling and booking system for managing flight training, ground school, simulator sessions, checkrides, briefings, and maintenance activities. By using the scheduling features, you agree to:
Accurate Information:
- Provide truthful and accurate information when creating or requesting scheduled events
- Record accurate aircraft meter readings (hobbs/tach) during dispatch and completion
- Report accurate fuel, oil, and landing counts during flight completion
- Submit truthful post-flight squawk reports
Timely Updates:
- Cancel or modify scheduled events as early as possible if plans change
- Respond promptly to booking approval requests (for Business/Staff users)
- Complete post-flight data submission promptly after landing (for students on solo/rental flights)
Resource Availability:
- Check aircraft, instructor, and facility availability before booking
- Respect scheduling conflicts and maintenance periods
- Not create duplicate or overlapping bookings
4.2 Reservation IDs and Booking Confirmation
Each scheduled event receives a unique reservation ID (6-character booking reference, e.g., "FXBA23") for identification and communication purposes. This reservation ID should be referenced in all communications regarding the scheduled event.
4.3 Booking Approval Workflow (Students)
When students create booking requests, the following applies:
- Pending Status: Newly created student bookings enter a "Pending" status awaiting Business/Staff approval
- Approval Authority: Only authorized Business or Staff users can approve or deny student booking requests
- Conflict Notifications: Students will be notified of any scheduling conflicts (resource, maintenance, weather) detected during booking
- Approval Timeline: Students should allow reasonable time for booking review and approval
- Denial Reasons: Denied bookings will include explanatory notes from reviewing staff
5. Event Dispatch and Authorization
5.1 Pre-Flight Dispatch Workflow
For flight training, simulator sessions, and checkrides, a dispatch authorization process is required before the event can begin:
Business/Staff Dispatch Authority:
- Business and authorized Staff users may dispatch flights after validating:
- Aircraft airworthiness and maintenance status
- Current weather conditions and forecasts
- Pilot certificates, medical, and currency
- Required endorsements for solo flights
- Aircraft checkout status for renters
- Renter's insurance (if required)
- No open aircraft squawks (if policy requires)
- Record initial hobbs/tach readings at dispatch
- Document any special instructions or limitations
5.2 Student Self-Dispatch (Qualified Renters)
Students with Private Pilot certificates or higher may self-dispatch aircraft rentals if ALL of the following conditions are met:
- Certificate Requirements: Hold at least a Private Pilot certificate
- Aircraft Checkout: Valid checkout for the specific aircraft (not expired)
- Currency: Current flight review and medical certificate
- Insurance: Valid renter's insurance policy (if required by school policy)
- Weather Compliance: Current conditions meet applicable weather minimums for pilot certificate level
- Aircraft Status: No open squawks (if school policy requires)
- Operational Hours: Within school business hours (unless after-hours dispatch is permitted by school policy)
- Endorsements: Valid solo endorsement for student pilots
Students acknowledge that:
- Self-dispatch eligibility is determined automatically by the Service based on the criteria above
- Business/Staff users retain override authority and may restrict self-dispatch at their discretion
- Inaccurate information provided during self-dispatch may result in account suspension
- Self-dispatch does not relieve students of pilot-in-command responsibilities or FAA regulatory compliance
6. Flight Completion and Post-Flight Data
6.1 Completion Requirements
After completing a scheduled flight, training session, or event, authorized users must record completion data:
Business/Staff Completion:
- Record final hobbs/tach readings
- Document actual flight time
- Record fuel and oil added (quantities and costs)
- Enter landing counts (total, day, night)
- Note departure and arrival airports
- Provide instructor feedback and student performance notes
- Record billing information (aircraft rental costs, instructor fees)
- Mark billing status appropriately
Student Post-Flight Submission (Solo/Rental Flights):
Students completing solo flights or aircraft rentals must submit post-flight data:
Required Information:
- Final hobbs/tach readings
- Total landings (if known)
- Post-flight notes
- Aircraft squawk reports (if any issues discovered)
Review Process:
- Student submissions enter "Pending Review" status
- Authorized Business/Staff users review and either approve or correct the data
- Staff may make corrections to inaccurate meter readings or other data
- Students receive notifications when reviews are completed
Students acknowledge that:
- Inaccurate post-flight data may result in billing disputes or training delays
- Failure to report aircraft squawks is a safety concern and may result in account restrictions
- Staff corrections to submitted data will be documented with explanatory notes
- Repeated submission of inaccurate data may result in loss of self-dispatch privileges
7. Event Cancellation
7.1 Cancellation Procedures
Any authorized user may cancel scheduled events, subject to the following:
Business/Staff Cancellations:
- May cancel any event at any time with documented reason
- Must provide cancellation reason (weather, maintenance, illness, scheduling conflict, etc.)
- May include explanatory notes for participants
Student Cancellations:
- May cancel their own scheduled events
- Must provide cancellation reason
- Should cancel as early as possible to allow rescheduling
- May face restrictions on cancellations within a certain time window (as determined by school policy)
7.2 Weather-Related Cancellations
Events may be cancelled due to weather conditions including:
- Weather below applicable minimums (student VFR, private VFR, etc.)
- Deteriorating weather forecasts
- Unsafe flight conditions (thunderstorms, icing, low visibility, high winds)
Weather cancellations are documented separately and do not count against student cancellation policies.
7.3 Maintenance-Related Cancellations
Events may be cancelled due to aircraft maintenance including:
- Required maintenance or inspections
- Overdue inspections
- Aircraft squawks requiring resolution
- Aircraft unavailability due to repairs
7.4 Un-Cancellation
Business and authorized Staff users may "un-cancel" events if circumstances change and the event can proceed as originally scheduled.
8. Scheduling Conflicts and Resolution
The Service automatically detects scheduling conflicts including:
Resource Conflicts:
- Aircraft double-bookings
- Instructor double-bookings
- Student double-bookings
- Classroom or simulator conflicts
Maintenance Conflicts:
- Aircraft scheduled for maintenance
- Inspections due or overdue
- Grounded aircraft
- Aircraft with open squawks
Weather Conflicts:
- Current or forecast weather below applicable minimums
- Unsafe weather conditions
Conflict Resolution:
Users acknowledge that:
- The Service provides conflict warnings but does not prevent Business/Staff users from overriding
- Business/Staff users have authority to resolve conflicts and make final scheduling decisions
- Students cannot book resources with known conflicts without staff approval
- Conflicts must be resolved before event dispatch
9. Billing and Payment for Scheduled Events
9.1 Billing Data Collection
During flight completion, the following billing information is recorded:
- Aircraft rental charges (based on hobbs time and hourly rates)
- Instructor fees (based on billable hours and instructor rates)
- Fuel costs
- Oil costs
- Ground instruction charges
- Any additional fees
9.2 Billing Status
Completed flights have a billing status:
- Pending: Awaiting payment processing
- Charged: Payment successfully processed
- Failed: Payment processing failed
- Waived: Charges waived by Business
- Manual Review: Requires manual billing review
- Student Submitted: Student submitted data, awaiting staff finalization
9.3 Payment Responsibility
Students acknowledge that:
- Accurate hobbs/tach readings are essential for correct billing
- Disputes over billing must reference the specific reservation ID and be raised within 30 days
- Corrections to post-flight data may result in billing adjustments
- Flight school billing policies and payment terms apply
10. Intellectual Property Rights
FlightXplorer and all content, features, and functionality thereof, including but not limited to all information, software, code, text, displays, graphics, photographs, video, audio, design, presentation, selection, and arrangement, are owned by FlightXplorer LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You are not permitted to:
- Copy or modify the Service, any part of the Service, or our trademarks in any way
- Attempt to extract the source code of the Service
- Translate the Service into other languages
- Make derivative versions of the Service
- Distribute or make the Service available over a network where it could be used by multiple devices at the same time
- Rent, lease, lend, sell, redistribute, or sublicense the Service
11. License
Subject to these Terms, FlightXplorer LLC grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Service for your personal, non-commercial purposes on a device that you own or control.
12. Aviation and Educational Compliance
12.1 Regulatory Compliance
Business Users acknowledge their responsibility to comply with applicable Federal Aviation Administration (FAA) regulations, including but not limited to:
- FAA Part 141 Pilot School requirements (14 CFR 141.101)
- FAA Part 61 General certification requirements
- Record-keeping and training documentation requirements
- Part 91 aircraft operation and dispatch procedures
- Aircraft maintenance and airworthiness requirements
12.2 Educational Record Handling
Staff and Business Users agree to:
- Handle student educational records in accordance with applicable privacy laws
- Use student information solely for legitimate educational, training, safety, and billing purposes
- Maintain confidentiality of student information
- Follow proper consent procedures before collecting sensitive student data
12.3 Data Retention Compliance
The Service facilitates compliance with FAA record-keeping requirements. Users acknowledge that certain training-related records (including scheduling history, flight completion data, dispatch records, and post-flight submissions) may be retained for regulatory compliance periods even after student account deletion, as required by federal aviation regulations.
13. App Store Rules
When you download the Service from a digital distribution platform such as the Apple App Store or Google Play Store ("App Store"), you acknowledge and agree that:
- These Terms are between you and FlightXplorer LLC, not with the App Store
- The App Store has no obligation to furnish any maintenance and support services with respect to the Service
- In the event of any failure of the Service to conform to any applicable warranty, you may notify the App Store, and the App Store may refund the purchase price for the Service to you (if applicable)
- The App Store is not responsible for addressing any claims you have or any claims of any third party relating to the Service
14. User Responsibilities and Device Security
The FlightXplorer Service stores and processes personal data that you have provided to us to provide our Service. It's your responsibility to keep your phone and access to the Service secure. We therefore recommend that you do not jailbreak or root your phone, which is the process of removing software restrictions and limitations imposed by the official operating system of your device. It could make your phone vulnerable to malware/viruses/malicious programs, compromise your phone's security features, and it could mean that the FlightXplorer Service won't work properly or at all.
Additional Security Responsibilities:
- Maintain secure login credentials and do not share account access
- Report any suspected unauthorized access immediately
- Ensure device security measures are enabled (screen locks, device encryption)
- Keep the Service updated to the latest version for security patches
- Do not share dispatch authorization credentials with unauthorized persons
- Log out of the Service after completing dispatch or scheduling operations on shared devices
15. Prohibited Uses
You agree not to use the Service:
- For any unlawful purpose or to solicit others to take unlawful actions
- To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
- To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation
- To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service
- To falsify aircraft meter readings (hobbs/tach), flight times, or other operational data
- To create fraudulent bookings or abuse the scheduling system
- To bypass safety checks, weather minimums, or dispatch authorization requirements
- To dispatch aircraft without proper authorization or eligibility
- To interfere with or manipulate the booking approval process
16. Third-Party Services
The Service uses third-party services that declare their own Terms and Conditions, including but not limited to:
- Google Analytics for Firebase
- RevenueCat
- Google Places API
- Firebase Cloud Messaging
- AVWX API (aviation weather data)
You are encouraged to review the terms and privacy policies of these third-party service providers.
17. Internet Connectivity and Mobile Charges
Certain functions of the Service will require an active internet connection. The connection can be Wi-Fi or provided by your mobile network provider, but FlightXplorer LLC cannot take responsibility for the Service not working at full functionality if you don't have access to Wi-Fi, and you don't have any of your data allowance left.
If you're using the Service outside of an area with Wi-Fi, you should remember that the terms of the agreement with your mobile network provider will still apply. As a result, you may be charged by your mobile provider for the cost of data for the duration of the connection while accessing the Service, or other third-party charges. In using the Service, you're accepting responsibility for any such charges, including roaming data charges if you use the Service outside of your home territory (i.e., region or country) without turning off data roaming. If you are not the bill payer for the device on which you're using the Service, please be aware that we assume that you have received permission from the bill payer for using the Service.
18. Location Services
The Service may collect precise location information during flight tracking activities with your explicit permission. By enabling location services, you consent to:
- Collection of GPS coordinates during active flight sessions
- Storage of flight path data for training record purposes
- Sharing of location data with authorized flight school personnel for safety monitoring
You may disable location services at any time through your device settings, though this may limit certain flight tracking functionality.
19. Push Notifications
The Service sends push notifications for scheduling-related events including:
- Booking confirmations and approvals
- Booking denials with explanatory reasons
- Upcoming event reminders
- Dispatch authorizations
- Flight completion reminders
- Cancellation notifications
- Weather alerts affecting scheduled flights
- Maintenance notifications affecting aircraft availability
- Student post-flight submission notifications (for staff)
- Pending review notifications
You may disable push notifications through your device settings, though this may affect your ability to receive timely updates about your scheduled events.
20. Limitations of Responsibility and Aviation Disclaimer
FlightXplorer LLC cannot always take responsibility for the way you use the Service. You need to make sure that your device stays charged — if it runs out of battery and you can't turn it on to avail the Service, FlightXplorer LLC cannot accept responsibility.
With respect to FlightXplorer LLC's responsibility for your use of the Service, when you're using the Service, it's important to bear in mind that although we endeavor to ensure that it is updated and correct at all times, we do rely on third parties to provide information to us so that we can make it available to you.
IMPORTANT AVIATION SAFETY DISCLAIMER:
FLIGHTXPLORER LLC TAKES NO RESPONSIBILITY FOR ANY INCIDENTS, ACCIDENTS, INJURIES, OR FATALITIES THAT MAY OCCUR DURING YOUR FLIGHT WHILE USING THIS SERVICE. THE RESPONSIBILITY FOR THE AIRCRAFT, ITS MAINTENANCE, AND OTHER RELATED FACTORS FALLS ENTIRELY ON YOU (THE PILOT) AND THE FLIGHT SCHOOL/FBO (THE BUSINESS). THIS SERVICE IS A TRAINING MANAGEMENT TOOL AND DOES NOT REPLACE PROPER FLIGHT PLANNING, WEATHER BRIEFINGS, AIRCRAFT INSPECTIONS, OR ADHERENCE TO FEDERAL AVIATION REGULATIONS.
SCHEDULING AND DISPATCH DISCLAIMER:
THE SCHEDULING AND DISPATCH FEATURES OF THIS SERVICE ARE ORGANIZATIONAL TOOLS ONLY AND DO NOT CONSTITUTE:
- Authorization to operate an aircraft
- Certification of aircraft airworthiness
- Verification of pilot qualifications or currency
- Official weather briefings or flight planning
- Replacement for pilot-in-command decision-making
- Guarantee of aircraft, instructor, or facility availability
- Legal or regulatory compliance assurance
You acknowledge and agree that:
- Dispatch Authorization: App-based dispatch authorization does not relieve pilots of their regulatory obligation to determine aircraft airworthiness, personal fitness to fly, and weather suitability before every flight.
- Weather Information: Weather data provided through the Service is for informational purposes only. Pilots must obtain official weather briefings through FAA-approved sources before flight.
- Self-Dispatch: Student self-dispatch eligibility determinations are based on data provided by users. The Service cannot verify the accuracy or currentness of pilot certificates, medical certificates, flight reviews, endorsements, or insurance policies. Pilots are solely responsible for ensuring they meet all regulatory requirements before flight.
- Meter Readings: While the Service records hobbs/tach readings for billing and maintenance tracking, pilots remain responsible for proper aircraft operation and recording flight time in their personal logbooks per FAA requirements.
- Booking Availability: Scheduled events in the Service do not guarantee actual availability. Aircraft mechanical issues, weather conditions, instructor illness, or other factors may require last-minute changes.
- Conflict Warnings: The Service provides scheduling conflict warnings as a convenience, but Business/Staff users may override these warnings. The presence of conflict warnings does not prohibit flight operations when proper authorization is obtained.
- Billing Accuracy: Billing calculations based on recorded flight times are estimates. Final billing may differ based on actual operations, fuel costs, additional services, or manual adjustments.
- No Guarantees: FlightXplorer LLC makes no guarantees regarding the accuracy, completeness, or timeliness of scheduling data, weather information, aircraft status, or availability information.
21. Account Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.
Specific grounds for immediate termination include:
- Falsification of aircraft operational data (hobbs/tach readings, flight times)
- Unauthorized dispatch of aircraft
- Repeated violations of scheduling policies
- Fraudulent booking activities
- Safety violations or reckless conduct
If you wish to terminate your account, you may simply discontinue using the Service. Upon termination:
- Your right to use the Service will cease immediately
- We may delete your account and all associated data, subject to regulatory retention requirements
- All pending scheduled events will be cancelled
- For Student Users: You may request complete data deletion through the privacy dashboard, subject to FAA compliance requirements for training records (including scheduling history, completion data, and dispatch records)
22. Updates to the Service
At some point, we may wish to update the Service. The Service is currently available on iOS and web — the requirements for the system (and for any additional systems we decide to extend the availability of the Service to) may change, and you'll need to download the updates if you want to keep using the Service. FlightXplorer LLC does not promise that it will always update the Service so that it is relevant to you and/or works with the iOS version that you have installed on your device. However, you promise to always accept updates to the application when offered to you. We may also wish to stop providing the Service, and may terminate use of it at any time without giving notice of termination to you. Unless we tell you otherwise, upon any termination, (a) the rights and licenses granted to you in these terms will end; (b) you must stop using the Service, and (if needed) delete it from your device.
23. Subscription Terms
If you purchase a subscription through the Service:
- Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
- Your account will be charged for renewal within 24 hours prior to the end of the current period
- You can manage and cancel your subscriptions by going to your account settings after purchase
- Any unused portion of a free trial period will be forfeited when you purchase a subscription
- Subscription fees do not include charges for flight training, aircraft rental, instructor fees, fuel, or other operational costs recorded through the scheduling system
24. Changes to These Terms and Conditions
We may update our Terms and Conditions from time to time. Thus, you are advised to review this page periodically for any changes. We will notify you of any changes by posting the new Terms and Conditions on this page.
For material changes that affect user rights, scheduling policies, dispatch procedures, or data handling practices, we will provide additional notice through the Service and may require acceptance of updated terms before continued use.
25. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FLIGHTXPLORER LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FLIGHTXPLORER LLC MAKES NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT SCHEDULED EVENTS WILL PROCEED AS PLANNED, THAT DISPATCH AUTHORIZATIONS ARE SUFFICIENT FOR SAFE FLIGHT OPERATIONS, OR THAT WEATHER, AIRCRAFT STATUS, OR AVAILABILITY INFORMATION IS ACCURATE OR CURRENT.
26. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FLIGHTXPLORER LLC OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE, INCLUDING ANY SCHEDULING ERRORS, MISSED FLIGHTS, CANCELLED EVENTS, BILLING DISPUTES, DISPATCH AUTHORIZATION ISSUES, OR FLIGHT SAFETY INCIDENTS.
IN NO EVENT SHALL FLIGHTXPLORER LLC'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY YOU TO FLIGHTXPLORER LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
FLIGHTXPLORER LLC SHALL NOT BE LIABLE FOR ANY DAMAGES, INJURIES, ACCIDENTS, OR FATALITIES ARISING FROM OR RELATED TO FLIGHT OPERATIONS, AIRCRAFT DISPATCH, SCHEDULING DECISIONS, WEATHER-RELATED INCIDENTS, AIRCRAFT MECHANICAL ISSUES, OR PILOT ERROR, REGARDLESS OF WHETHER THE SERVICE WAS USED IN CONNECTION WITH SUCH EVENTS.
27. Indemnification
You agree to defend, indemnify, and hold harmless FlightXplorer LLC and its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to claims arising from flight operations, aircraft accidents, scheduling disputes, billing disagreements, dispatch authorization errors, falsified operational data, or unauthorized aircraft operations.
28. Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of Wyoming, United States, without regard to its conflict of law provisions.
Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
29. Force Majeure
FlightXplorer LLC shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, power failures, internet or telecommunications outages, cyberattacks, or disruptions to third-party services upon which the Service depends.
30. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
31. Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and FlightXplorer LLC concerning your use of the Service and supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and FlightXplorer LLC.
32. Waiver
No waiver by FlightXplorer LLC of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of FlightXplorer LLC to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
33. Assignment
FlightXplorer LLC may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer any rights or obligations under these Terms without our prior written consent.
